1. Acceptance of Terms

Welcome to TuringPulse. These Terms of Service ("Terms") govern your access to and use of TuringPulse's AI agent observability platform, including our website, APIs, SDKs, and related services (collectively, the "Service").

By creating an account or using our Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use our Service.

2. Description of Service

TuringPulse provides an AI agent observability platform that enables you to:

  • Monitor and trace AI agent executions in real-time
  • Detect anomalies and drift in agent behavior
  • Analyze performance metrics and KPIs
  • Implement human-in-the-loop review workflows
  • Manage governance and compliance policies
  • Configure alerts and notifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Subscription Plans and Payment

4.1 Plans

We offer various subscription plans with different features and usage limits. Plan details and pricing are available on our website. We may modify plans and pricing with 30 days' notice.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • You are responsible for all applicable taxes
  • We may suspend access for non-payment after reasonable notice

4.3 Usage Limits

Each plan includes specific usage limits (traces, retention, team members, etc.). If you exceed your plan limits, you may be charged overage fees or upgraded to a higher plan. We will notify you before any automatic upgrades.

4.4 Refund Policy

If you are not satisfied with your subscription, you may request a full refund within 30 days of your initial purchase or renewal. To request a refund, contact us at support@turingpulse.ai. Refunds will be processed within 5–10 business days.

5. Your Data

5.1 Ownership

You retain all rights to the data you submit to the Service ("Your Data"). We claim no ownership over Your Data.

5.2 License to Us

You grant us a limited license to use, process, and store Your Data solely to provide and improve the Service. This license includes the right to create anonymized, aggregated data for analytics and service improvement.

5.3 Your Responsibilities

You are responsible for:

  • Ensuring you have the right to submit Your Data to the Service
  • Configuring appropriate data masking and redaction for sensitive information
  • Complying with applicable data protection laws
  • Maintaining backups of Your Data

5.4 Data Deletion

Upon account termination, we will delete Your Data within 30 days, except where retention is required by law or for legitimate business purposes (e.g., billing records).

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or to violate any laws
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to build a competing product
  • Exceed rate limits or circumvent usage restrictions
  • Share account credentials with unauthorized users
  • Resell or sublicense the Service without authorization

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, code, and documentation, is owned by TuringPulse and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service according to these Terms.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable license to use such feedback without compensation or attribution.

7.3 Third-Party Components

The Service may include third-party open-source software. Such components are subject to their respective licenses, which can be found in our documentation.

8. API and SDK Terms

  • API access is subject to rate limits and fair use policies
  • API keys are confidential and must not be shared or exposed publicly
  • We may modify APIs with reasonable notice; breaking changes will be communicated in advance
  • SDKs are provided under open-source licenses specified in their repositories

9. Service Level Agreement

For paid plans, we commit to 99.9% monthly uptime for the core Service. Scheduled maintenance windows are excluded from uptime calculations. Service credits for downtime are available as outlined in our SLA documentation.

The SLA does not apply to:

  • Free or trial accounts
  • Features marked as "beta" or "preview"
  • Issues caused by your actions or third-party services
  • Force majeure events

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURINGPULSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless TuringPulse and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Data or content

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

13.2 By Us

We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay fees, or for any other reason with 30 days' notice.

13.3 Effect of Termination

Upon termination, your right to use the Service ends. We may delete Your Data according to our data retention policy. Sections that by their nature should survive (e.g., Intellectual Property, Limitation of Liability) will survive termination.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@turingpulse.ai to attempt to resolve disputes informally.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

14.3 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and TuringPulse regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
